INTACT SMM Reseller Program Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your participation in the INTACT SMM reseller or white-label program ("Program"). By registering for the Program, you agree to abide by these Terms.
INTACT SMM ("we," "our," or "us") offers a variety of Social Media Marketing (SMM) services that you, as a reseller or white-label partner, can promote and resell under your own brand to your customers.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years of age.
• Operate a legitimate business or entity.
• Comply with all relevant laws and regulations, including, but not limited to, those related to data protection, advertising, and online business operations in your jurisdiction.

3. Account Setup and Branding

• Upon successful registration, you will receive access to the INTACT SMM platform and reseller tools.
• You will have the ability to resell INTACT SMM’s services under your own brand, logo, and domain name. All reselling actions must comply with INTACT SMM’s branding and intellectual property guidelines.
• You must not use INTACT SMM’s name, logo, or any proprietary information for purposes outside of promoting the services in your white-label offering.

4. Services and Pricing

• INTACT SMM will provide a range of services that you can offer to your customers at wholesale prices. You are free to mark up the services and sell them at your own pricing.
• INTACT SMM reserves the right to modify, discontinue, or change services or prices at any time. While we will make reasonable efforts to notify you of any changes, it remains your responsibility to communicate these changes to your customers.

5. Responsibilities of Resellers

• You are responsible for promoting, selling, and managing the services provided by INTACT SMM under your brand.
• You must ensure that all customer inquiries, complaints, and disputes related to services are handled professionally and promptly.
• You are responsible for managing your customer’s orders, payments, and service fulfillment. INTACT SMM will not deal directly with your customers unless otherwise agreed upon.
• You must not engage in any activity that could harm INTACT SMM’s reputation, such as misleading advertising, fraud, or illegal conduct.

6. Earnings and Payments

• As a reseller, your earnings will be based on the difference between the wholesale price of INTACT SMM’s services and the price you set for your customers.
• Payment schedules, rates, and withdrawal options will be outlined in your INTACT SMM reseller account.
• Payments for services purchased by your customers must be made in Indian Rupees (INR) unless otherwise agreed.
• INTACT SMM may charge monthly, quarterly, half-yearly, or yearly payments to your reseller account, as per the payment schedule.
• Any refunds requested by your customers for undelivered services may affect your earnings, as INTACT SMM reserves the right to withhold earnings in such cases.

7. Payment Disputes and Refunds

• If a customer disputes a charge or requests a refund, you are responsible for investigating the issue and may issue a refund at your discretion. If a refund is issued, your earnings may be reduced accordingly.
• You are responsible for addressing customer service issues and disputes related to services directly. However, INTACT SMM will assist in resolving service-related problems, if necessary.

8. Termination of Reseller Account

• INTACT SMM reserves the right to terminate or suspend your reseller account at any time, with or without notice, if you violate these Terms, engage in fraudulent or unethical practices, or fail to comply with applicable laws or regulations.
• If your account is terminated, you will lose access to your reseller account, and any outstanding earnings may be withheld.
• You may terminate your participation in the Program at any time by providing written notice to INTACT SMM. However, you will remain responsible for fulfilling any outstanding obligations and payments.

9. Prohibited Activities

You agree not to:

• Mislead or deceive customers regarding the services you are reselling.
• Use unethical marketing techniques such as spamming, false advertising, or generating fake traffic or orders.
• Violate any intellectual property rights or laws governing the advertising and sale of services.
• Resell services to other resellers or competitors or sell services outside the scope defined by INTACT SMM.

10. Intellectual Property

• INTACT SMM grants you a non-exclusive, non-transferable license to use its brand and intellectual property solely for the purpose of promoting the services under your white-label offering.
• You are not authorized to modify or use INTACT SMM’s intellectual property for any other purposes without explicit consent.
• Upon termination of your reseller account, you must immediately cease the use of all INTACT SMM branding, logos, and other intellectual property.

11. Confidentiality

• You agree to maintain the confidentiality of any proprietary information, including customer data, pricing, marketing strategies, and service details.
• You are prohibited from disclosing confidential information to third parties unless required by law.

12. Limitation of Liability

• INTACT SMM is not liable for any indirect, incidental, or consequential damages arising from your participation in the Program or your reselling activities.
• The total liability of INTACT SMM under this agreement is limited to the amount of fees actually paid to INTACT SMM by you for the specific service in question.

13. Indemnification

• You agree to indemnify and hold harmless INTACT SMM, its officers, employees, and agents from any claims, losses, liabilities, or damages, including legal fees, arising from your actions as a reseller, including violations of these Terms or applicable laws.

14. Modifications to Terms

• INTACT SMM reserves the right to modify, update, or change these Terms at any time. You will be notified of any changes, and they will take effect immediately upon posting.
• Continued participation in the Program after changes are made constitutes your acceptance of the revised Terms.
